1. Definitions and Scope
ArvynnTech (arvynntech.com) is a digital ecosystem facilitating the trade of digital assets, software, scripts, and licenses between creators (Sellers) and users (Buyers). By accessing or using the platform, you fully agree to these terms.
- Platform: The website arvynntech.com and all its subdomains and services.
- Items: Any digital product, code, or license available for purchase.
- Seller: Content creator providing items in the marketplace.
- Buyer: User acquiring usage licenses for the items.
2. Account Creation and Authentication
To perform purchases or sales, account creation is mandatory. You are responsible for providing truthful, complete, and updated information. The security of your credentials (passwords and API keys) is your sole responsibility. Notify us immediately of any suspected unauthorized access.
3. Platform Usage Rules
You commit to using ArvynnTech ethically and legally. It is strictly forbidden to:
- Violate intellectual property rights.
- Distribute malware or perform social engineering attacks.
- Use the platform for money laundering or illegal activities.
- Create duplicate accounts to bypass suspensions.
4. Intellectual Property
The ArvynnTech brand and its entire interface are the exclusive property of ArvynnTech. When purchasing an item, you receive a Usage License according to the chosen type (e.g., Regular or Extended), not the ownership of the source code or original copyrights, which remain with the Seller.
5. Limitation of Liability
ArvynnTech acts as an intermediary. While we perform audits (AI Review) to enhance security, we do not guarantee that all items are error-free or compatible with all environments. Our maximum financial liability is limited to the total amount paid by the user in the last 12 months.
6. Suspension and Cancellation
We reserve the right to suspend or terminate accounts that violate these terms, without prior notice, if we identify risks to the community's security or fraudulent activities.
7. COMMERCIAL RULES
This section details ArvynnTech's financial flow.
7.1. Purchase Process
Purchases are processed in a secure environment. Upon payment confirmation by the third-party processor (such as Stripe, PayPal, or Asaas), the item and corresponding license will be instantly available for download on the buyer's dashboard.
7.2. Order Cancellation
Orders in 'Pending' status can be cancelled at any time by the user. Orders already processed and released for download follow the return policy detailed below.
7.3. Return Policy
Given the nature of digital goods (consumable upon download), returns are accepted only under the following conditions:
- The item is provenly broken or does not work as described.
- The Seller failed to provide promised technical support in a timely manner.
Incompatibility due to failure to read technical requirements does not entitle to a refund.
7.4. Refunds
Refund requests must be opened via Support Ticket within 7 days of purchase (according to CDC in Brazil and similar consumer laws elsewhere). Upon approval, the refund will be processed via the same payment method used. The credit timeline depends on the card issuer or bank, ranging from 5 to 15 business days.
8. International Legal Compliance
ArvynnTech automatically adapts its consumer protection rules:
- Brazil: Observance of the Consumer Defense Code (CDC) and LGPD.
- European Union: Compliance with the Consumer Rights Directive and GDPR.
- USA: Adherence to state privacy laws, including California's CCPA.
9. Merchant of Record (MoR) Hybrid Model
ArvynnTech operates under a hybrid tax responsibility model:
Buyer in the European Union or United States:
ArvynnTech acts as the Merchant of Record (MoR), being responsible for collecting, declaring, and remitting applicable taxes (VAT in the EU via OSS; Sales Tax in the US by state), issuing the fiscal invoice to the buyer and passing the net amount to the Seller.
Buyer in Brazil — Seller as Legal Entity (PJ):
The platform operates as a pure marketplace. The PJ Seller is solely responsible for issuing the Electronic Service Invoice (NFS-e) and collecting ISS to the municipality.
Buyer in Brazil — Seller as Individual (PF):
If the Seller's accumulated monthly earnings exceed R$1,903.98 (current IRRF progressive table exemption threshold), ArvynnTech will withhold Income Tax at Source (IRRF) on payouts, remitting it to the Federal Revenue Service on the Seller's behalf, as required by Brazilian tax law.
Other markets:
The platform operates as a pure marketplace. The Seller is responsible for declaring and collecting applicable taxes in their jurisdiction.
10. Tax Data Retention
In compliance with the legal obligations of the jurisdictions in which we operate, fiscal and transaction data is retained for the following minimum periods:
- Brazil: 5 years (as required by the Federal Revenue Service — IN RFB 2.003/2021).
- United States: 7 years (per IRS Publication 583).
- European Union: 10 years (per VAT Directive 2006/112/EC, Art. 242).
These retention periods take precedence over any data deletion requests ('Right to be Forgotten'), which are limited by applicable fiscal legal obligations during the retention period.
